JSW Energy to Increase Ownership in Toshiba Power Equipment Partnership Through ₹150 Crore Agreement

JSW Energy has finalized a definitive agreement with Toshiba Corporation to raise its stake in Toshiba JSW Power Systems Pvt Ltd (TJPS) from 4.6% to 20.7% on a non-diluted basis via a secondary share purchase valued at ₹150 crore.

The company has informed the exchanges that this transaction involves acquiring additional equity shares from Toshiba Corporation, Japan, and is anticipated to be concluded on or before June 15, 2026, pending the fulfillment of conditions outlined in the definitive agreements.

TJPS is a partnership between Toshiba Corporation, JSW Steel, and JSW Energy. The entity focuses on engineering, manufacturing, marketing, and maintenance services for mid-to-large scale supercritical steam turbines and generators utilized in thermal power generation.
JSW Energy mentioned that this acquisition will enhance its access to steam turbine generators, bolster supply chain resilience, and aid in its thermal capacity expansion initiatives. The company currently manages a thermal capacity of 5,658 MW, with plans to boost overall generation capacity to 30 GW by FY30.

The company also noted that the transaction will facilitate its future thermal growth objectives and help mitigate risks in the supply chain for essential thermal equipment. TJPS has a manufacturing facility in Chennai that can produce supercritical and ultra-supercritical steam turbine generators with capacities of up to 1,000 MW.

Post-acquisition, JSW Energy’s ownership in TJPS will increase to 20.7% on a non-diluted basis and to 10.7% on a fully diluted basis.

Shares of JSWENERGY closed at ₹533.15 on the NSE on Tuesday, reflecting an increase of 0.77% from the previous closing price.
