Hoag, 67, who is also a board member at Zillow Group Inc. and Peloton Interactive Inc., has been part of the Netflix board since 1999. He previously held the position of lead independent director, but the streaming service indicated that this role was no longer necessary following Hoag’s elevation to chairman.
Last year, shareholders chose not to reelect Hoag after the proxy advisory firm Institutional Shareholder Services suggested they do so, citing his attendance issues at board meetings in 2024. Netflix noted he was present for two out of four meetings that year. Although Hoag offered his resignation, the board declined to accept it.
Netflix stated that he participated in all eligible board and committee meetings in 2025, and shareholders overwhelmingly voted to reelect him this year.
