The Smart World and Communication unit, which includes the smart & safe segment and communications segment, will transfer its contracts, intellectual property, and workforce to the acquiring company.
The transaction amount is ₹452 crore, subject to adjustments for working capital, net debt, and other specified conditions in the agreement. The expected closing date for the transaction is on or before September 30, 2026.
The Smart World and Communication unit reported revenue of ₹1,027.95 crore in FY 2024-25, accounting for 9.63% of L&T Technology Services’ consolidated revenue, and had a net worth of ₹445.89 crore, which is 7.31% of the company’s net worth.

AMI Paradigm is a special-purpose entity established by ParadigmIT Technology Services Private Ltd and AM Intelligence Labs Private Ltd, both promoted by the founders of the Greenko Group.
The buyer is committed to advancing AI for public systems and critical infrastructure services. AM Green B.V., linked by common ultimate ownership to AM Intelligence, has signed a guarantee deed to ensure payment of the purchase consideration.
L&T Technology Services is shifting its focus toward Engineering Intelligence (EI) as part of its five-year Lakshya Plan, emphasizing investment in six key technology domains.
The sale of the Smart World and Communication unit will enable L&T Technology Services to allocate resources and capital toward high-growth EI initiatives, while also enhancing its Mobility, Technology, and Sustainability segments.
This transaction is not a related-party deal and is conducted entirely in cash. No regulatory approvals are needed, and the sale is outside the scope of the Scheme of Arrangement under the Companies Act, 2013.

Shares of L&T Technology Services Ltd closed at ₹3,211.00, increasing by ₹58.05, or 1.84%, on the BSE.
