NLC India Board Gives Initial Approval for Renewable Subsidiary Listing, Announces Interim Dividend

On Monday, January 12, NLC India Limited announced that its board of directors has granted in-principle approval for the listing of NLC India Renewables Limited (NIRL), a fully-owned subsidiary, through the dilution of equity stake by up to 25% across one or more tranches via a public offering, pending required approvals from relevant authorities.

This in-principle approval will be forwarded to the Ministry of Coal for further submission to the Department of Investment and Public Asset Management (DIPAM).

Additionally, the board announced an interim dividend of 36%, amounting to ₹3.60 per equity share of face value ₹10 each, for the financial year 2025-26. January 16 has been set as the record date to determine members eligible for the interim dividend, which will be distributed to qualifying shareholders according to statutory timelines.

Moreover, the board has also approved an in-principle investment of up to ₹66.6 crore in NIRL, in one or more tranches, through the subscription of equity shares at face value. This investment, subject to necessary regulatory approvals, aims to support green energy projects through joint venture companies.

NLC India Ltd reported a 27.1% year-on-year decrease in consolidated net profit for the quarter ending September 2025, amounting to ₹665 crore, compared to ₹912 crore in the same quarter last year.

Revenue from operations increased by 14% to ₹4,178.4 crore from ₹3,657.3 crore a year prior, aided by higher production and improved realizations for the lignite coal miner based in Chennai.

The operating performance showed significant improvement, with earnings before interest, tax, depreciation, and amortization (EBITDA) rising by 30.5% year-on-year, reaching ₹1,400 crore compared to ₹1,073 crore.

On January 12, shares of NLC India Ltd closed at ₹257, gaining ₹4.60 or 1.82%.
